TERMS OF USE - DOCTHERA

- ACCEPTANCE OF TERMS AND AGREEMENT TO ARBITRATE
1.1 Binding Agreement
Welcome to DOCTHERA. These Terms of Use (“Terms,” “Agreement,” or “Terms of Use”) constitute a legally binding agreement between you (“you,” “your,” “user,” “member,” or “client”) and DOCTHERA, Inc., a Delaware corporation (“DOCTHERA MSO,” “Company,” “we,” “us,” or “our”), governing your access to and use of the DOCTHERA platform, including but not limited to our website (www.docthera.com), mobile applications, digital tools, technology services, administrative services, concierge services, and all related services (collectively, the “Services” or “Platform”).
By clicking “I Agree,” creating an account, purchasing a membership, accessing our Platform, or otherwise using any of our Services, you acknowledge that you have read, understood, and agree to be legally bound by these Terms, our Privacy Policy, Member Policy, and all other policies and agreements referenced herein. Your use of the Services constitutes your express agreement to comply with and be bound by all terms, conditions, policies, and notices contained or referenced in these Terms.
1.2 Arbitration Notice
PLEASE READ THIS CAREFULLY. THIS AGREEMENT CONTAINS A BINDING ARBITRATION PROVISION AND CLASS ACTION WAIVER THAT AFFECTS YOUR LEGAL RIGHTS. By agreeing to these Terms, you agree that most disputes between you and DOCTHERA MSO will be resolved through binding, individual arbitration, and you waive your right to participate in a class action lawsuit or class-wide arbitration. This arbitration agreement survives termination of this Agreement and your relationship with DOCTHERA MSO.
1.3 Capacity and Authority
By accepting these Terms, you represent and warrant that: (i) you are at least eighteen (18) years of age or have obtained verifiable parental or legal guardian consent; (ii) you have the full right, power, capacity, and authority to enter into this Agreement; (iii) your execution of this Agreement does not violate any other agreement to which you are bound; (iv) you will comply with all applicable federal, state, and local laws and regulations in your use of the Services; and (v) the information you provide to us is accurate, current, and complete, and you will maintain and promptly update such information to keep it accurate, current, and complete.
1.4 Important Distinction Between Services
CRITICAL NOTICE REGARDING SEPARATION OF SERVICES: You expressly understand and acknowledge that DOCTHERA operates through two distinct and legally separate entities providing different services:
Management and Administrative Services: All non-clinical services, including but not limited to membership administration, technology platform access, scheduling coordination, billing support, insurance claims assistance, digital wellness tools, concierge services, and administrative support are provided exclusively by DOCTHERA, Inc., which is NOT a medical or psychological practice and does NOT provide healthcare services.
Clinical Healthcare Services: All clinical mental health services, including but not limited to psychotherapy, psychiatric evaluations, medication management, psychological assessments, diagnoses, treatment planning, and clinical consultations are provided exclusively by DOCTHERA Psychological, Inc. (“Professional Corporation” or “PC”) and its licensed doctorate-level healthcare providers. The PC is a separate legal entity from DOCTHERA MSO, and your clinical care relationship is solely with the PC and your treating provider(s).
These Terms of Use govern only your relationship with DOCTHERA MSO for non-clinical services. Your receipt of clinical services from the PC is governed by a separate Consent to Care Agreement that you must execute with the PC.
- COMPREHENSIVE SERVICES DESCRIPTION
2.1 Management Services Organization (MSO) Services
DOCTHERA MSO provides comprehensive non-clinical support services designed to facilitate your access to premium mental healthcare. These services are administrative and technological in nature and expressly exclude the practice of medicine, psychology, or any form of clinical care. Our MSO services include, but are not limited to:
Technology Platform Services: We provide and maintain a proprietary, HIPAA-compliant technology platform that includes secure video conferencing capabilities for telehealth sessions, encrypted messaging systems for communication with providers and support staff, electronic health record access for authorized purposes, appointment scheduling and management tools, digital intake and assessment forms, outcome tracking dashboards, and mobile applications for iOS and Android devices. This platform is designed to facilitate but not provide clinical care.
Concierge and Member Services: Your membership includes access to our concierge team who provides comprehensive non-clinical support including appointment scheduling and rescheduling assistance, provider matching based on your preferences and needs, coordination of care between multiple providers, assistance with insurance benefits verification, support for out-of-network reimbursement claims, coordination of office space for in-person sessions, travel and scheduling logistics support, and general customer service. The level and availability of concierge services varies by membership tier as detailed in our Member Policy.
Administrative Support Services: We handle extensive administrative functions including provider credentialing verification and monitoring, billing and payment processing for both membership and clinical services, insurance claim submission and follow-up for PPO out-of-network benefits, maintenance of required documentation and records in compliance with applicable laws, coordination with third-party services and partners, quality assurance and member satisfaction monitoring, and general operational support for the delivery of services.
Digital Wellness Resources: Members have access to our curated library of digital wellness resources including self-guided meditation and mindfulness exercises, stress management tools and techniques, sleep hygiene resources and tracking tools, productivity and performance optimization resources, educational content on mental health topics, and wellness assessment tools. These resources are educational in nature and do not constitute medical advice or treatment.
2.2 Clinical Services Provided by Professional Corporation
All clinical mental healthcare services are provided exclusively by licensed doctorate-level healthcare providers through DOCTHERA Psychological, Inc., an independent professional corporation. DOCTHERA MSO does not employ, control, or direct the clinical judgment of these providers. Clinical services provided by the PC include but are not limited to:
Individual psychotherapy and counseling services, psychiatric evaluations and medication management, psychological testing and assessments, executive coaching and performance optimization, couples and family therapy, group therapy sessions where available, crisis intervention within the scope of outpatient care, treatment planning and clinical consultations, and diagnosis and treatment of mental health conditions. The specific clinical services available to you will depend on your individual needs as determined by your treating provider(s) in their independent clinical judgment.
2.3 No Medical Advice from MSO
You expressly acknowledge and agree that DOCTHERA MSO and its employees, agents, and representatives do not and cannot provide medical or psychological advice, diagnosis, or treatment. Any information provided through our Platform, including but not limited to educational content, digital wellness tools, outcome tracking data, or communications from our non-clinical staff, is for general informational and administrative purposes only. Such information should not be construed as medical advice or a substitute for professional clinical care. Only licensed healthcare providers through the PC can provide clinical advice, diagnosis, or treatment recommendations.
- MEMBERSHIP STRUCTURE AND BENEFITS
3.1 Membership Tiers and Structure
DOCTHERA offers multiple membership tiers designed to meet different needs and preferences. Current membership options, benefits, and pricing are detailed on our Membership Page at www.docthera.com/membershio and in our Member Policy, which are incorporated herein by reference. Membership tiers currently include Priority, Premiere, Executive, and Legacy levels, each with distinct benefits and service levels.
All memberships are billed annually in advance. Prices are subject to change with sixty (60) days’ notice to existing members, with changes taking effect at your next renewal date. Please refer to our current Membership Page for complete pricing information.
3.2 Core Membership Benefits
All membership tiers include core benefits as described in our Member Policy, with service levels and response times varying by tier. These benefits typically include but are not limited to:
Access to our curated network of doctorate-level mental health providers, initial evaluation sessions, annual wellness reviews, insurance claims support for PPO out-of-network benefits, access to our digital wellness platform and mobile applications, secure messaging with your care team, and various levels of concierge support based on your membership tier.
The specific benefits included with each membership tier are subject to change and are detailed in our current Member Policy and Membership Page.
3.3 Membership Terms and Conditions
Your membership is subject to the following terms and conditions:
Automatic Renewal: Memberships automatically renew on the annual anniversary of your initial enrollment unless you provide written notice of cancellation at least thirty (30) days prior to your renewal date. We will send you a renewal reminder at least sixty (60) days before your renewal date to the email address associated with your account.
Non-Refundable Fees: All membership fees are non-refundable once paid, except where prohibited by law. This policy applies regardless of whether you use all available benefits during your membership period. We encourage you to carefully review our current membership options and benefits before purchase.
Membership Benefits Are Personal: Your membership and its benefits are personal to you (and specified family members for family-tier memberships) and may not be transferred, sold, or shared with others. Any attempt to transfer or share membership benefits may result in immediate termination of your membership without refund.
Changes to Benefits: We reserve the right to modify membership benefits with thirty (30) days’ advance notice to members. Any changes to benefits will not affect your current membership period but will apply upon renewal. Material changes will be communicated through email and posted on our website.
Relationship to Clinical Services: Membership fees cover only the non-clinical services and benefits described in our Member Policy. All clinical services, including therapy sessions, psychiatric consultations, and assessments, are billed separately. Membership does not guarantee the availability of any specific provider or appointment time.
- PLATFORM USE AND ACCOUNT MANAGEMENT
4.1 Account Registration and Security
To access the full features of our Services, you must create and maintain an account with DOCTHERA. In creating and maintaining your account, you agree to the following terms and responsibilities:
Accurate Information: You must provide true, accurate, current, and complete information during the registration process and maintain and promptly update your account information to keep it true, accurate, current, and complete. Providing false or misleading information may result in immediate termination of your account and membership.
Account Security: You are solely responsible for maintaining the confidentiality and security of your account credentials. You must immediately notify us of any unauthorized use of your account or any other breach of security of which you become aware.
Account Responsibility: You accept full responsibility for all activities that occur under your account, whether or not such activities are authorized by you. You agree that we will not be liable for any loss or damage arising from your failure to comply with these security obligations.
Single Account Policy: Each user may maintain only one active account. Creating multiple accounts for the same individual is prohibited and may result in termination of all accounts.
Age Requirements: You must be at least eighteen (18) years of age to create an account and use our Services independently. Minors may only use our Services with parental or legal guardian consent and supervision.
4.2 Acceptable Use Policy
Your use of our Services is subject to our comprehensive Acceptable Use Policy. You agree not to use the Services for any unlawful purpose, to harass or harm others, to violate intellectual property rights, to attempt unauthorized access, to introduce malicious code, or to interfere with the proper functioning of the Services. 4.3 User Content and Communications
By submitting content through our Services, you grant us a non-exclusive, worldwide, royalty-free license to use such content in connection with providing and improving our Services. You represent that you have all necessary rights to submit such content and that it does not violate any third-party rights or applicable laws.
4.4 Account Suspension and Termination
We reserve the right to suspend or terminate your account for violation of these Terms, non-payment of fees, fraudulent activity, or conduct harmful to other users or our business. Upon termination, your right to use the Services immediately ceases, and you remain liable for all fees incurred prior to termination.
- FINANCIAL TERMS AND PAYMENT POLICIES
5.1 Fee Structure and Payment Obligations
You agree to pay all applicable fees for Services you purchase or use through the Platform at the prices in effect when the charges are incurred, as set forth on our Membership Page at www.docthera.com/membership or as otherwise communicated to you. This includes but is not limited to:
Annual membership fees for your selected tier, clinical session fees at current rates, any applicable late cancellation or no-show fees as described in our Member Policy, and applicable taxes and processing fees.
Current rates for all services are available on our Membership Page and may be updated from time to time with appropriate notice as described in these Terms.
5.2 Payment Processing and Methods
We accept various forms of payment including major credit cards, debit cards, HSA/FSA cards, and other payment methods as specified on our Platform. By providing payment information, you authorize us to charge your selected payment method for all fees incurred. All payment processing is handled by third-party payment processors who are PCI-DSS compliant.
You are responsible for maintaining current and accurate payment information. If your payment method fails, we may suspend your access to Services until payment is received.
5.3 Insurance and Reimbursement Services
While DOCTHERA operates on a private-pay model, we provide support for insurance reimbursement where applicable. Our concierge team can assist with out-of-network benefit verification, claim submission, and follow-up. However, you acknowledge that:
All fees are due at the time of service regardless of insurance coverage; you are solely responsible for all fees whether or not covered by insurance; insurance reimbursement is not guaranteed; and we make no representations about the amount of reimbursement you may receive.
Reimbursement processing times vary by membership tier and are estimates only. Complete details are available in our Member Policy.
5.4 Refund and Cancellation Policies
All membership fees are non-refundable once paid, except as required by law. Session cancellations must be made according to the timeframes specified in our Member Policy to avoid cancellation fees. You may cancel your membership renewal at any time with appropriate notice, but cancellation does not entitle you to any refund for the current membership period.
5.5 Taxes
You are responsible for all applicable taxes related to your purchase and use of Services. We will collect and remit taxes as required by law based on your billing address.
- SCHEDULING, APPOINTMENTS, AND SERVICE DELIVERY
6.1 Appointment Scheduling and Availability
Appointments with PC providers are scheduled through our Platform subject to provider availability. Scheduling privileges and advance booking windows vary by membership tier as detailed in our Member Policy. We cannot guarantee the availability of any specific provider or time slot.
6.2 Cancellation and No-Show Policies
Detailed cancellation requirements and associated fees are set forth in our Member Policy. Generally, appointments must be cancelled with adequate advance notice to avoid fees. Repeated no-shows may result in termination of services.
6.3 Telehealth Services
Many services are delivered via secure telehealth technology. By using telehealth services, you consent to receiving care via video conferencing and acknowledge that technical requirements and limitations apply. You must ensure you have appropriate technology and a private space for telehealth sessions.
6.4 In-Person Services
In-person services are available at select locations. Office policies, accessibility information, and health and safety protocols are detailed in our Member Policy and may vary by location.
- INTELLECTUAL PROPERTY RIGHTS
7.1 DOCTHERA Intellectual Property
All content, trademarks, logos, and technology associated with the Services are owned by or licensed to DOCTHERA MSO and are protected by intellectual property laws. You may not use our intellectual property without prior written permission.
7.2 Limited License to Use
We grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Services for your personal, non-commercial use in accordance with these Terms.
7.3 User Feedback
Any feedback or suggestions you provide may be used by us without compensation or acknowledgment to you. You grant us all necessary rights to use such feedback for any purpose.
- PRIVACY, DATA PROTECTION, AND HIPAA
8.1 Privacy Policy
Our collection, use, and protection of your information is governed by our Privacy Policy, available at www.docthera.com/privacy, which is incorporated by reference into these Terms.
8.2 HIPAA Compliance
We maintain appropriate safeguards for Protected Health Information as required by HIPAA. Clinical records created by PC providers are governed by the PC’s Notice of Privacy Practices.
8.3 Data Security
We implement industry-standard security measures to protect your information, including encryption, access controls, and regular security assessments. However, no method of transmission or storage is completely secure.
8.4 Your Privacy Rights
You have various rights regarding your personal information as detailed in our Privacy Policy, including rights specific to California residents under the CCPA.
- DISCLAIMERS AND LIMITATIONS
9.1 Healthcare Disclaimers
DOCTHERA MSO IS NOT A MEDICAL PRACTICE AND DOES NOT PROVIDE MEDICAL OR PSYCHOLOGICAL ADVICE, DIAGNOSIS, OR TREATMENT. Information provided through our Platform by non-clinical staff is for general informational purposes only. Only licensed healthcare providers through the PC can provide clinical care.
NO GUARANTEE OF OUTCOMES: We make no warranties or guarantees regarding any specific health outcomes or results from using our Services or receiving treatment from PC providers.
NO EMERGENCY SERVICES: The Services are not appropriate for emergency or crisis situations. If you experience a medical or mental health emergency, call 911 or go to your nearest emergency room immediately.
9.2 Service Disclaimers
THE SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED. We do not warrant that the Services will be uninterrupted, error-free, or meet your requirements.
9.3 Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, OUR TOTAL LIABILITY FOR ALL CLAIMS SHALL NOT EXCEED THE GREATER OF THE AMOUNT YOU PAID US IN THE TWELVE MONTHS PRECEDING THE CLAIM OR $500. WE SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, OR CONSEQUENTIAL DAMAGES.
- INDEMNIFICATION
You agree to defend, indemnify, and hold harmless DOCTHERA MSO and its affiliates from any claims, damages, or expenses arising from your violation of these Terms, your use of the Services, your User Content, or your violation of any third-party rights.
- DISPUTE RESOLUTION
11.1 Mandatory Arbitration
Any disputes shall be resolved through binding individual arbitration under AAA Consumer Arbitration Rules, conducted in Orange County, California.
11.2 Class Action Waiver
YOU WAIVE ANY RIGHT TO PARTICIPATE IN CLASS ACTIONS OR CLASS-WIDE ARBITRATION.
11.3 Opt-Out Right
You may opt out of arbitration by providing written notice within 30 days of first accepting these Terms.
- GENERAL PROVISIONS
12.1 Governing Law
These Terms are governed by California law without regard to conflict of law principles.
12.2 Modifications
We may modify these Terms with notice to you. Continued use after changes constitutes acceptance.
12.3 Severability
If any provision is invalid, the remaining provisions remain in effect.
12.4 Assignment
You may not assign these Terms. We may assign freely.
12.5 Electronic Communications
You consent to receiving electronic communications from us.
